RDP: BOD resolution on planning stock issuance to raise capital

The Board resolution dated January 26, 2021, the BOD of Saigon Real – Estate Joint Stock Company approved the following contents:

1)      Approving the stock issuance to raise charter capital from the owner’s equity:

-          Stock type: common share

-          Par value: VND 10,000/share

-          Stock code: RDP

-          Additional issue volume: 6,571,187 shares

-          Total value (based on par value): VND 65,711,870,000

-          Exercise ratio: 1:0.16 (shareholder who owns 100 shares will receive 16 new shares).

-          Plan to deal with fractional shares: The distributed shares will be rounded down to dozen, the fractional shares due to rounding down will be cancelled.

-          For example: at the record date, shareholder A owned 115 shares. With 1:0.16 performing ratio, the shareholder A will receive: 115 *0.16 =18.4 shares. According to rounding policy, the shareholder A receives 18 new shares and fractional shares of 0.4 will be cancelled.

-          Distribution time: within 45 days after being approved by the State Securities Commission of Vietnam (SSC).

-          Consulting Organization: Baoviet Securities Joint Stock Company (BVSC).

2)      Approving the dossier of stock issuance to raise charter capital from the owner’s equity:

-          Report on the stock issuance to raise charter capital from the owner’s equity;

-          Copy of Business Registration Certificate;

-          Audited financial statements in 2019;

-          Reviewed consolidated financial statements in 6 months of 2020;

-          Resolution of Extraordinary General Meeting 2020 on approving the stock issuance to raise charter capital from the owner’s equity;

-          Plan for the stock issuance to raise charter capital from the owner’s equity.
