NAF: Notice of stock issue for dividend 2018 & ESOP

Nafoods Group Joint Stock Company (NAF) announces the stock issue for the 2018 dividend payment and the employee stock ownership plan (ESOP) as follows:

1.     Plan for stock dividend payment:

-       Stock: Stock of Nafoods Group Joint Stock Company

-       Stock type: common stock

-       Par value: 10,000 VND/share

-       Number of issued shares: 36,299,782 shares

-       Number of outstanding shares: 36,299,720 shares

-       Number of treasury shares: 62 shares

-       Estimated issue volume: 5,444,958 shares

-       Estimated issue value: 54,449,580,000 VND

-       Issue ratio: 15% on the outstanding shares   

-       Financial resource: the undistributed after-tax profit at 12/31/2018.

-       Record date: June 13, 2019

-       The number of shares distributed to each shareholder will be rounded down. The fractional part (if any) will be cancelled.

-       For example, if shareholder A owns 84 shares at the record date, he will the right to receive 84*15/100 = 12.6 new shares. After rounded down, the number of shares shareholder A receives is 12 shares. The fractional part (0.6 share) will be cancelled.

2.     The employee stock ownership plan (ESOP):

-       Stock: Stock of Nafoods Group Joint Stock Company

-       Stock type: common stock

-       Par value: 10,000 VND/share

-       Number of issued shares: 36,299,782 shares

-       Number of outstanding shares: 36,299,720 shares

-       Number of treasury shares: 62 shares

-       Estimated issue volume: 1,814,986 shares

-       Estimated issue value: 18,149,860,000 VND

-       Issue ratio: 5% on the outstanding shares   

-       Financial resource: the undistributed after-tax profit at 12/31/2018.

-       Transfer restriction: none

-       Time of implementation: from June 14, 2019 to July 15, 2019
