BCG: Implementing the public offering plan to existing shareholders

The Board resolution dated August 31, 2021, the BOD of Bamboo Capital Joint Stock Company approved the following contents:

1)      Approving to implement the plan for public offering to existing shareholders:

-          Stock name: Bamboo Capital Joint Stock Company

-          Stock code: BCG

-          Stock type: common share

-          Par value: VND10,000/share

-          Charter capital before the issuance: VND2,975,371,740,000

-          Offering volume: 148,768,587 shares

-          Total value (at par value): VND1,487,685,870,000

-          Issuance form: public offering

-          Offering price: VND12,000/share

-          Capital mount need to be mobilized according to the expected offering price: VND1,785,223,044,000

-          Capital surplus: VND297,537,174,000

-          Exercise ratio: 2:1 (Those who own 01 share will receive 01 right, and with every 01 right will be entitled to purchase 01 new share). The number of newly issued shares bought by each existing shareholder will be rounded down to units. In case of the fractional shares due to arising (if any) will be cancelled.

-          The rights should be transferred only once.

-          The new shares are freely transferable

-          The unsold shares will be decided by the BOD to distribute to other investors. These shares will be restricted in 01 year from the finish date of the offering.

-          Time of implementation: expected in Quarter IV/2021, after being approved by the State Securities Commission of Vietnam (SSC).
