ADG: Board Resolution on ADOP INC

On September 24, 2021, the Board of Directors of Clever Group Corporation approved the termination of the agreement between Clever Group Corporation and ADOP INC., signed on December 30, 2019, of which ADOP INC. transferred all of voting rights, equivalent to 60%, to Clever Group Corporation for the purpose of appointment, resignation of the Directorate at ADOP Vietnam Co., Ltd.

After the termination, ADOP Vietnam Co., Ltd. will be no longer a subsidiary of Clever Group Corporation; and the investment in ADOP Vietnam Co., Ltd. will be recorded as an investment in an associated company in the consolidated financial statements.
